Welcome to Uncovered Intelligence UAB, a competitive intelligence platform operated by Uncovered Intelligence UAB ("we", "our", or "us"). By accessing or using our services, you agree to comply with and be bound by the following Terms of Service ("Terms"). Please read these Terms carefully. If you do not agree to these Terms, you must not use our services.

1. Acceptance of Terms

By using our services, you agree to these Terms and any policies or guidelines referenced herein. If you are using the services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Services Provided

Uncovered Intelligence UAB provides a platform for Competitive and Market Intelligence, including but not limited to research, analysis, and distribution of competitive insights.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms to use our services.

4. Account Registration

To access certain features of our services, you must register for an account. You agree to provide accurate and complete information during the registration process and to keep your account information up-to-date. Uncovered requires business domain-related emails, and not generic email provider (@gmail; @hotmail; etc.).

5. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

• Use our services in any manner that could disable, overburden, damage, or impair the services or interfere with any other party's use of the services.

• Attempt to gain unauthorized access to any part of the services or its related systems or networks.

6. Non-Compete Provision

You agree that during the term of your use of our services, and for a period of twenty-four (24) months thereafter, you will not, directly or indirectly, engage in any business that competes with Uncovered Intelligence UAB's business in any geographic area where Uncovered Intelligence UAB operates. This non-compete clause shall not apply if such restriction is prohibited by applicable law.

7. Confidentiality Agreement

You agree to keep confidential any non-public information, trade secrets, or other confidential or proprietary information of Uncovered Intelligence UAB ("Confidential Information") disclosed to you in connection with your use of our services. You shall not use or disclose any Confidential Information except as necessary to use the services as permitted under these Terms. This obligation of confidentiality shall continue for a period of three (3) years after your termination of use of the services.

8. Intellectual Property

All content, features, and functionality of the services, including but not limited to text, graphics, logos, and software, are the exclusive property of Uncovered Intelligence UAB and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Competitors using the product in breach of this clause are believed to be in violation and we reserve the right to pursue them for damages.

9. Receival Clause

You agree that any ideas, concepts, know-how, or techniques you retain in your mind as a result of using our services ("Receival Information") shall not be used to benefit any competitor of Uncovered Intelligence UAB or to develop products or services that compete with our offerings.

10. Payment Terms

All payments for the services are due in accordance with the terms set forth at the time of purchase. Delayed payments will carry a monthly interest rate of 7%. Fees resulting from failed transactions are the responsibility of the customer and Uncovered may charge for any related fees.

11. Refund Terms

We offer a 30-day trial to ensure you are satisfied with our service before any payment is charged. Recurring charges should be cancelled prior to the next billing cycle to avoid additional charges. Refunds are at the discretion of Uncovered Intelligence UAB and are typically not issued once a billing cycle has started.

12. Limitation of Liability

To the maximum extent permitted by law, Uncovered Intelligence UAB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the services.

• Any unauthorized access to or use of our servers and/or any personal information stored therein.

• Any interruption or cessation of transmission to or from the services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Uncovered Intelligence UAB, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the services or your violation of these Terms.

14. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, if we believe you have breached these Terms. Upon termination, your right to use the services will cease immediately.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Lithuania (EU), without regard to its conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the services after such changes have been posted constitutes your acceptance of the new Terms.
